An Annual General Meeting (AGM) is the most critical constitutional event in an Indian housing society’s calendar. When conducted sloppily, resolutions get challenged in the cooperative court, elections get stayed, and committee volunteers burn out. Here is the operational handbook for holding an airtight AGM.
Statutory Timelines: When Must the AGM Be Held?
Under state cooperative society acts (such as Maharashtra, Karnataka, and Delhi), an AGM must be convened on or before September 30th of each financial year. An extension of up to three months can only be granted by the Registrar of Cooperative Societies under exceptional circumstances.
The secretary must issue a formal AGM notice at least 14 clear days before the meeting date (21 days in certain states). Sending a casual message on a WhatsApp group does not satisfy statutory service rules: notice must be delivered via registered email, physical acknowledgment, or society notice board display.

The adjourned meeting can typically reconvene after 30 minutes on the same day or a week later. In the adjourned meeting, the members present form a valid quorum to conduct the business on the original agenda — however, they cannot introduce new unlisted agenda items.
Voting Rights & The Proxy Myth
Only registered owners whose names appear in the society share register or flat deeds are eligible to vote. If a flat is jointly owned, the first-named associate member has the primary right to cast the vote unless a formal written authorization is submitted prior to the meeting.
Unlike corporate meetings, most state apartment ownership acts and cooperative bye-laws strictly prohibit proxy voting to prevent builders or single investor blocks from hijacking residential governance.
Drafting & Circulating Minutes That Hold Up in Court
The draft minutes must be recorded by the secretary and signed by the chairman within 30 days of the AGM. They must reflect the exact wording of every passed resolution, proposed by and seconded by named members, along with the recorded count of votes in favor and against.
